1. Introduction

Welcome to Peachz, a service operated by Peachz Technology, Inc., a Delaware corporation ("Peachz," "we," "our," or "us").

These Terms of Service govern your use of peachz.xyz, our mobile and desktop applications, and all related players, widgets, tools, features, applications, APIs, and other services provided by Peachz (collectively, the "Platform").

By accessing or using the Platform, you agree to these Terms of Service ("Agreement"). If you do not agree, you may not use the Platform.

2. Changes to the Terms of Service

Peachz may update these Terms at any time. We will notify users of significant changes via email or on the Platform. Continued use after the changes take effect constitutes acceptance of the new terms.

3. Description of the Platform

Peachz is a music streaming and artist empowerment platform where users can upload, share, discover, and monetize music. Features include:

• Artist uploads, streaming, gamification, and fan engagement
• Music catalogue management and monetization tools
• Pledge-to-play model for purchasing music and supporting artists 
• AI-powered (Agentic) search, recommendations and playlisting

Some features may require a paid subscription, and Peachz reserves the right to modify features at its discretion.

4. User Accounts

• Registration: Users must create an account to access certain features. You agree to provide accurate and complete information.
• Account Security: You are responsible for maintaining the security of your account. Peachz is not liable for unauthorized access due to your negligence.
• Age Restriction: You must be at least 18 years old or meet the legal age of majority in your jurisdiction.

5. Third-Party Services & External Links

Peachz integrates with third-party services, including Phantom, Stripe, PayPal, and social login services. We are not responsible for the availability, security, or functionality of these third-party services. Use of third-party services is subject to their respective terms.

6. Content Moderation & Enforcement

Immediate Takedown Policy: If a content violation is reported, the content in question will be immediately removed while the dispute is reviewed.

Resolution Time: Content disputes will be reviewed and resolved within 23 business days.

Strike System for Violations:

1. First Violation: Warning
2. Second Violation: Temporary Suspension
3. Third Violation: Permanent Ban (difficult to reverse)

Users may appeal bans, but Peachz will review cases individually and uphold bans in cases of repeated violations.

7. Music Uploads & Copyright

7.1 Artist Responsibility

By uploading content to Peachz, you acknowledge and agree that you are solely responsible for ensuring that your content does not infringe on any copyrights, trademarks, or other intellectual property rights. Peachz Technology, Inc., its founders, affiliates, and partners bear no responsibility for any claims, legal actions, damages, or disputes arising from your uploaded content.

• You affirm that you own or have obtained all necessary rights, licenses, and permissions to distribute the content you upload.
• You assume full legal and financial responsibility for any claims, takedowns, or lawsuits related to your content.
• Peachz does not monitor, verify, or guarantee the legality of user-uploaded content and is not liable for any legal consequences that may arise.

7.2 License Grant

By uploading content to the Platform, you grant Peachz a non-exclusive, worldwide, royalty-free license to store, stream, and distribute your content solely for the purpose of operating the Platform. This license does not transfer ownership and exists only for as long as your content is available on Peachz.

7.3 Takedown Policy & Dispute Resolution

If any content is flagged for potential copyright infringement, unauthorized use, or other legal violations:

• Immediate Removal: Peachz will automatically remove the content from the Platform pending review.
• Dispute Process: The uploader may submit a counter-notice if they believe the removal was incorrect.
• Resolution Timeline: Peachz aims to resolve disputes within 23 business days but makes no guarantees regarding the speed or outcome of resolution.

7.4 Repeat Copyright Violations

Artists who receive three (3) copyright strikes may face permanent account termination.

• A copyright strike is issued when content is removed due to a valid infringement claim.
• Peachz reserves the right to terminate accounts without warning for severe or repeated violations.

7.5 Indemnification & Legal Disclaimer

By using the Platform, you agree to indemnify, defend, and hold harmless Peachz Technology, Inc., its founders, affiliates, employees, and partners from any and all claims, damages, losses, legal fees, or liabilities arising from:

• Your uploaded content, including any copyright, trademark, or intellectual property disputes.
• Any legal actions, takedowns, or financial claims made by third parties.
• Any breach of these Terms or violation of applicable laws.

Peachz is not liable for any loss, claim, or damage resulting from the removal of content, the suspension of accounts, or any disputes between users and rights holders.

8. Subscription & Payment Terms

All Sales Are Final: Patrons understand what they are buying, and Peachz assumes no responsibility or liability for any purchases. ALL SALES ARE FINAL.

Quality Disclaimer: Peachz cannot guarantee the quality of mastering and mixing but makes efforts to monitor audio quality and assist artists where possible.

Automatic Renewals: Subscriptions will automatically renew unless canceled before the next billing cycle.

9. Cookie Policy & Tracking

Peachz uses Google Analytics, ad tracking, and other tracking tools. Users will be informed of tracking through our separate Privacy Policy and Cookie Policy.

10. International Users & Governing Law

These Terms apply to international users across Europe, Asia, and Latin America.

Legal Jurisdiction: All disputes must be handled in Delaware, USA, unless otherwise required by law.

Arbitration Clause: Disputes must be resolved through binding arbitration in Delaware, except where prohibited by law.

Class Action Waiver: Users may only bring claims against Peachz on an individual basis, not as part of a class action.

11. Meetups & Competitions

User-Organized Events: Peachz is not liable for user-hosted events unless explicitly stated by Peachz.

Official Peachz Meetups & Competitions: Peachz does host official events, conferences, and competitions. Separate documentation for these will be provided.

12. Account Termination

• User-Initiated Termination: Users may delete their accounts at any time.
• Peachz-Initiated Termination: Peachz may suspend or terminate accounts for:
  
  • Repeated policy violations
  • Serious legal infractions
  • Platform discontinuation
• Upon termination, all user content may be removed, except as required for legal or compliance purposes.
